NOTICE IN TERMS OF SECTION 45(5) OF THE COMPANIES ACT


At the Company's annual general meetings held on 3 June 2022 and 25 May 2023, respectively, shareholders
of Grindrod approved a special resolution authorising the board of directors of Grindrod (the "Board") to
provide financial assistance to related and inter-related companies.

The Board has, pursuant to the above authorisation via round robin resolutions dated 8 May 2023, and in
accordance with section 45 of the Companies Act, No 71 of 2008, as amended (the "Act"), resolved to provide
guarantees to related and inter-related companies, to secure the banking facilities required by such
companies.

Subsequent to the abovementioned shareholders' and Board approval, the total financial assistance provided
to related and inter-related companies exceeds one-tenth of one per cent of Grindrod's net worth.

By issuing this notice, the Board is of the view that the Company has complied with the notice requirements of
Section 45(5) of the Act.

Please note that no action is required from shareholders as a result of this notification, which is purely for
shareholders' information purposes and to ensure compliance with the Act.
